These Terms & Conditions ("Terms") govern your access to and use of the DiRevNexus Technologies LLC ("DiRevNexus," "we," "us," "our") website, and your engagement of our medical billing, revenue cycle management (RCM), and digital services (website development, web design, app development, and SEO). By using our website or signing a service agreement with us, you agree to these Terms.
By accessing our website, submitting a form, or entering into a service agreement with DiRevNexus, you confirm that you have the authority to bind your organization to these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
Specific engagements are further governed by a signed Master Services Agreement (MSA) and, where applicable, a Business Associate Agreement (BAA). Where a conflict exists between these Terms and a signed agreement, the signed agreement controls.

Fees for RCM services are billed under one of the engagement models described on our Services page — percentage of collections, flat monthly fee, or a hybrid model — as specified in the client's service agreement. Website, app, and SEO services are quoted and invoiced separately unless bundled into a client's plan.
Each party agrees to keep the other's confidential business information private and to use it only for purposes related to the engagement. Where DiRevNexus processes Protected Health Information (PHI) on a client's behalf, a Business Associate Agreement (BAA) is executed prior to any PHI being shared, and all processing is conducted in accordance with HIPAA's Privacy, Security, and Breach Notification Rules. While we work diligently to maximize clean-claim rates, minimize denials, and improve digital performance, DiRevNexus does not guarantee specific financial outcomes, payer approval of any individual claim, or specific search engine rankings, as these depend in part on factors outside our control (including payer policy, patient eligibility, and search engine algorithm changes).
Our website and any statistics referenced on it (such as average clean-claim rates or collections lift) reflect aggregate or illustrative results and are not a guarantee of results for any individual practice.
Service engagements do not require long-term lock-in contracts. Either party may terminate an ongoing engagement with 30 days' written notice, unless a different notice period is specified in a signed service agreement. Upon termination:
To the maximum extent permitted by law, DiRevNexus's total liability arising out of or related to our services shall not exceed the fees paid by the client for the specific services giving rise to the claim in the preceding six (6) months. DiRevNexus shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost revenue, even if advised of the possibility of such damages.
Each party agrees to indemnify and hold the other harmless from third-party claims arising out of that party's breach of these Terms, negligence, or violation of applicable law, including HIPAA, to the extent such claims result from that party's own acts or omissions.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any disputes arising from these Terms or a service agreement will first be addressed through good-faith negotiation between the parties before pursuing formal legal action.
We may revise these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date at the top of this page. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
